< Previous8. Oakridge Park is seeking an experienced Media Sales Partner who will help them maximize the value of their property and share the same vision for its future growth. Proponents should focus on the following key areas: • The Proponent’s track record in building and growing DOOH media revenues, particularly in premium place-based and shopping centre envi- ronments. This should include their ability to attract new advertisers and grow existing advertiser spend, with specific reference to prestige brands. • The value of existing and emerging sales channels such as Programmatic DOOH, how they see this evolving in the short to medium term and how this can be leveraged to benefit Oakridge Park. • The Proponent’s forecast revenues for the proposed media assets including commercial terms for the portfolio. • New and existing media opportunities the Proponent believes will emerge and/or grow over the next few years (e.g. mobile re-targeting and Augmented Reality) and how these can be leveraged to the benefit of Oakridge Park. • The Proponent’s experience in using data and advanced audience analytics to drive higher media revenues and aid the broader commercial objectives of their business partners. • Financial certainty for Oakridge Park around their proposal. • The Proponent’s ability to work with Oakridge Park as a partner to help them utilise the digital media assets to bring value for the broader stakeholders (outside 3rd party advertisers). As already outlined, Oakridge Park will be funding all aspects of the Digital Out-of-Home program and will be providing the CMS platform. In their proposals, Proponents should give careful consideration to the following: • The financial benefits that can be provided to Oakridge Park as there is no capital investment required from the Proponent. This should be reflected in both the Revenue Share and Minimum Annual Guarantee proposals. • The successful Proponent will need to integrate with and/or access the CMS and managed service provider appointed by Oakridge Park. Consideration should be given to the work involved and any issues or impediments this might create. 5.0INSTRUCTIONS FOR PROPONENTS9. Vendor evaluation and selection criteria are detailed in Section 7 of this document. For the purposes of clarity, whilst the proposed asset mix, revenue forecast and commercial terms will form a significant part of the evaluation criteria, the decision of an award will also be influenced by the ability of the Proponent to provide market leading solutions to the key objectives laid out in Section 3.2 of this document. Oakridge Park is also interested in understanding the Proponent’s views on the value of other areas not specifically included in the RFP. Additional Digital Assets that exist within the Oakridge Park remit and would be considered for media monetisation are identified in Appendix B. Proponents should include narrative and forecast revenues (including proposed revenue shares) for these assets, should in Oakridge Park’s sole discretion these be subsequently made available to the Proponent. 6.0 KEY CONTRACTUAL CONSIDERATIONS Proponents should be aware of the following key contractual terms that may have implications on their proposal: • Planned Start Date: June 2025. • A proposed “ramp up period” between award and contract start date will be approximately 6 months. Oakridge Park are seeking clarification from Proponents on their sales and marketing plan for this period that will enable revenue maximisation from the contract start date. • Proposed duration: an initial term of 5 years - subject to the Proponents ongoing achievement of agreed Key Performance Indicators (KPIs). • The option to renew should financial forecasts be achieved and KPIs delivered over the term of the contract and at the sole discretion of Oakridge Park. • Oakridge Park will require discussion and agreement on the KPIs the successful Proponent would be held accountable to over the course of the agreement. These KPIs will be mutually agreeable between the successful Proponent and Oakridge Park and will form part of any contractual relationship. Proposed KPIs should be included in the Proponent’s submission. • Required display / airtime for Oakridge Park: 50% of the loop unless otherwise agreed by Oakridge Park. • There will be no sub-letting or assignment of rights unless specifically agreed to in writing by Oakridge Park.10. • If a revenue share agreement is proposed (in full or in part), the Proponent should assume that Oakridge Park has the right to audit on an open book basis and subject to usual auditing rights. • Certain restrictions around advertisers and content are in place. See Appendix C for full details. • Oakridge Park reserves the right to pre-vet brands and content. Oakridge Park requires all vendors and suppliers to complete a privacy assessment evaluation. All Proponents must be aware that should they be the successful bidder, they will be required to complete a series of privacy assessment forms. These are a PIR (Product Impact Review) and a PIA (Privacy Impact Assessment). The completion of these forms is NOT a requirement of the RFP process, however, is it is a mandatory part of the appointment process. The relevant forms and information are provided for review in Appendix E. 7.0 VENDOR EVALUATION AND SELECTION CRITERIA Each proposal will be assessed according to the sections outlined below. Appendix E details the structure Proponents are required to follow. Where appropriate, Proponents may include additional information if they believe that this will enhance their proposal by providing Oakridge Park with greater context for and confidence in the Proponent’s ability to deliver on its proposal. 1. As the interpretation of certain elements of the information provided will by definition be of a subjective nature, a presentation stage for nominated shortlisted bidders has been included in the RFP process. This will provide Proponents the opportunity to present and explain their proposals in greater detail and provide an opportunity for Oakridge Park to gain a better understanding of your Company’s vision for the portfolio opportunity. Submission of a proposal will be deemed an acknowledgment by the Proponent that It has reviewed all of the RFP documents, in the event it is the successful Proponent, it will perform the work at the proposed prices in accordance with the Scope of Services, Service Levels and other terms and conditions of this RFP. Submission of a proposal will be further deemed an acknowledgment by the Proponent that all ambiguities, inconsistencies, and errors in the RFP documents have been resolved to its satisfaction by written addenda; and that the Proponent assumes all risk of any ambiguity, inconsistency or error in the RFP documents, not clarified or corrected by written addenda. NO OBLIGATION This is not a call for tenders. Nothing in this RFP, receipt by Oakridge Park of a Proposal in response to this RFP or subsequent negotiations by Oakridge Park of terms of a Contract, shall in any way impose a legal obligation on Oakridge Park, unless and until a formal written Contract containing terms and conditions satisfactory to Oakridge Park is executed by the Proponent and Oakridge Park, and then only to the extent provided in such Contract. COSTS INCURRED BY PROPONENTS Nothing in this RFP, receipt by Oakridge Park Park of a response to this RFP, any amendments to the RFP or subsequent negotiations by Oakridge Park of terms of a Contract, shall in any way impose an obligation on Oakridge Park to reimburse any Proponent or to pay any compensation for costs incurred in the preparation of a response to this RFP, presentations, or the negotiation of a proposed Contract except to the extent that such obligation is contained in the formal written Contract containing terms and conditions satisfactory to Oakridge Park and executed by the Proponent and Oakridge Park.14. CORPORATION’S RIGHT TO AMEND, SUPPLEMENT, CANCEL, ETC. Oakridge Park may, without liability, cost or penalty, in its sole discretion: • alter any dates in the RFP, as they relate to the RFP process, at any time prior to or after the Closing Time. • cancel this RFP at any time, whether prior to or after the Closing Time, and Oakridge Park may, but need not, in its sole discretion, issue a new RFP. • amend or supplement this RFP at any time prior to the Closing Time. • at any time prior to or after signing a Contract, discuss/negotiate changes to the scope of the RFP, or any of the terms or conditions of the RFP with any one or more of the Proponents without having any duty or obligation to advise the Proponent or to allow the Proponent to vary its Proposal as a result of discussions or negotiations with other Proponents or changes to the RFP, and, without liability to the Proponent as a result of such discussions, negotiations or changes. • waive irregularities in Proposals or in the submission of Proposals. • accept a Proposal in whole or in part, and to split or divide the total requirement among Proponents. • elect to procure nothing from the Proponents or make no Contract award hereunder. • reject any and all responses or seek additional responses. • enter into negotiations and subsequently contract with more than one Proponent if such action is in the interests of Oakridge Park. • award or refuse to award a Contract on the basis of criteria other than price (the lowest priced response will not necessarily be accepted). • not provide reasons for accepting or not accepting any particular Proposal. • reject a Proposal solely on the basis that its price exceeds the budget allocated for the project; and • choose to defer the opening of the Proposals received.15. OAKRIDGE PARK’S RIGHT TO CLARIFY PROPOSALS Oakridge Park may, through the RFP Administrator, without liability, cost or penalty, in its sole discretion and at any time after Proposal submission, seek clarification from any Proponent, either in writing or during a presentation or onsite demonstration with respect to the Proponent’s Proposal. Without limiting the generality of the foregoing, Oakridge Park may, at its sole discretion, request a Proponent to confirm in writing any statement made by the Proponent during the Proponents Meeting in which case the Proponent will promptly provide such written confirmation to Oakridge Park, within the time specified by the RFP Administrator. Any written information received by Oakridge Park from a Proponent in response to a request for clarification from Oakridge Park will be considered as a part of the Proponent’s Proposal. USE OF INFORMATION Oakridge Park may use, copy and disclose the ideas, concepts, know-how, solutions, techniques and other information which may be contained in Submitter’s Proposal or which may otherwise be disclosed in connection with this RFP notwithstanding that the Submitter may not be selected by Oakridge Park. OAKRIDGE PARK’S RIGHT TO VERIFY Oakridge Park may verify any Proponent statement or claim by whatever means Oakridge Park deems appropriate, including contacting third parties other than those offered by the Proponent as references, and may reject any Proponent statement or claim if, in the judgment of Oakridge Park, the statement or claim is unwarranted or not credible. The Proponent will co-operate with Oakridge Park in its attempts to verify any such statement or claim. In addition, Oakridge Park may conduct other investigations for the purposes of determining the qualifications of the proponents.16. AMENDMENTS TO RFP Any amendments or supplements to this RFP by Oakridge Park shall be made only by way of written addenda issued by the RFP Administrator which refers to this RFP. Oakridge Park has the right to assume that the Proponent in its Proposal has taken the information contained in the addenda into account. The Proponent is solely responsible to ensure that it has received all addenda, if any, issued pursuant to this RFP. This RFP and all schedules, appendices, and attachments, all Proponent questions, all of Oakridge Park’s written responses to Proponent questions, and other referenced documentation, including all written amendments or clarifications, constitute the entire RFP and no other documents, materials, discussions, representations, warranties or conditions are of any effect unless set forth herein or therein. ACCURACY OF INFORMATION The information furnished by or on behalf of Oakridge Park, and their respective advisors, in connection with this RFP is furnished solely for the purpose of assisting prospective Proponents in making an evaluation of the potential opportunity. This RFP does not purport to be all-inclusive or to contain all information that Proponents may require. Proponents should conduct their own investigations and due diligence and make their own projections and conclusions. Proponents should consult their own advisors to verify independently the information contained in this RFP and to obtain any additional information that they may require, prior to submitting a Proposal. Oakridge Park and its advisors make no representation or warranty as to the accuracy or completeness of the information provided in connection with this Request for Proposal activity.17. 10.0 ADDITIONAL TERMS AND CONDITIONS GOVERNING THE RFP AND THE PROPOSAL PROCESS APPLICATION OF TERMS AND CONDITIONS These additional terms and conditions apply only with respect to this RFP process and the submission of Proposals and will not apply to any subsequent Contract resulting from the RFP process. PROPONENT’S RISK Neither the Corporation nor the Property owe to the Proponent: • a contract or tort law duty of care, fairness, impartiality or procedural fairness in the RFP or proposal process; or • any contract or tort law duty to preserve the integrity of the RFP or proposal process, and the Proponent agrees to waive and release the Property from all such duties and expressly assumes the risk of all losses arising from participating in the RFP and proposal process on this basis. ACCESS/OWNERSHIP OF PROPOSAL INFORMATION • All RFP packages and addenda provided to the Proponent by the Corporation, or the Property remain the property of the Corporation and Property and must be returned to them upon request; and • The documentation containing the Contract Documents, once submitted to the Property, becomes the property of the Corporation and Property, and the Corporation and Property are under no obligation to return any of the Contract. EVALUATION OF PROPOSALS The Proponent irrevocably waives all rights it may have by statute, at law or in equity, to obtain any records produced or kept by the Corporation or the Property in evaluating its Proposal (and any other submissions with respect to this RFP) and now agrees that under no circumstances will it make any application to the Property for disclosure of any records pertaining to the receipt, evaluation or selection of its Proposal (or any other submissions) including, without limitation, records relating only to the Proponent.Next >
